Why it matters
The order form is an opening position.

Anthropic enterprise pricing is sales assisted, which means the document you receive is not a fixed template handed down from a price list. It is a proposal. Every clause in it was drafted to be reasonable to a buyer who is not looking closely and favorable to the seller when it counts. The work of a strong buyer is to look closely. Each of the seven clauses below is negotiable, each one moves real money or real risk, and each one is left untouched in the contracts we are asked to review after the fact.

The overage rate

Usage beyond your commit is the most expensive line in the contract when it bills at list. The counter is simple to state and hard to win without preparation: overage at the committed rate, not the published rate. This single clause often moves more money than the headline discount.

Unused commitment treatment

Commitment you do not draw usually expires at the period boundary with no credit. We negotiate carryover, a rollover window, or a true reforecast so the commitment you paid for does not simply vanish if a quarter comes in light.

Price protection

A discount that resets upward at renewal is a discount on loan. We ask for a capped or fixed rate across the term, so the rate you win this year holds rather than drifting up at the next negotiation.

The renewal uplift

Many contracts bake an automatic increase into renewal. We remove the automatic uplift and replace it with a renewal that opens at your benchmarked rate, not last year's number plus a percentage.

Seat minimums and true up

Enterprise and Team seat minimums are often set above real usage, with a mid term true up that only ratchets one way. We size seats to active usage and remove the automatic true forward.

Data, retention, and training

What the seller may retain, for how long, and whether your inputs touch any training process belongs in the contract, not in a policy page that can change. We pin these protections into the agreement itself.

Term, ramp, and exit

A long term with a front loaded commit and no graceful exit is a lock in. We phase the commit to your real ramp, keep the term serving you, and protect a workable exit so your leverage survives into the next cycle.

The pattern
Optimize the spend, then protect the terms.

The clauses matter most when the spend underneath them is already as low as it should be. Before we negotiate terms, we optimize the workload: routing across Opus, Sonnet, and Haiku rather than running everything on Opus, prompt caching at up to 90 percent on the stable parts of the context, and batch at 50 percent for the asynchronous jobs. That work typically cuts aggregate spend 40 to 70 percent and gives us a smaller, defensible commit to write these protections around. A clean contract on an oversized commit still costs too much. We fix both.
